WHEREAS, Affiliate is a company in the aviation industry providing various services in aviation or aviation-related fields (“Services”) who may deliver management services and/or charter operations to an entity or person introduced to Affiliate by or through Stratus 9 (“Company”).

In consideration for referring a prospective Customer to the Affiliate defined above, the Affiliate will pay a Finder’s Fee to Company, if, during the term of this Agreement, Company introduces a private person, firm, or entity to Affiliate (the “Customer”).

WHEREAS, Company has information in connection with prospective Customers and/or leads, business opportunities, or situations, including all other opportunities relating to or derived from the initial introducing opportunities, directly or indirectly (“Opportunities”) which it is willing to introduce to Affiliate upon entering into this mutual Non-Circumvention Agreement with Agency to enhance business opportunities; and
